Please read these Terms of Use ("Terms") carefully before using the website FocusCash (the "Site"), operated by Prêt Instant ("we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. Nature of the service

1.1 Referral service

Focus Cash is a referral service and NOT:

• A lender or financial institution
• A credit or mortgage broker
• A financial or investment advisor
• An agent or representative of the partner lenders

1.2 Limited Role

Our role is limited to:

• Collecting loan applications through our online form
• Forwarding these applications to independent third-party lending partners
• Providing general and educational information about loans

1.3 Credit Decisions

We do not make any decisions regarding:

• The approval or rejection of your loan application
• Interest rates, fees, or loan terms
• The amount you may be approved for
• Your eligibility for a loan

All of these decisions are made exclusively by our partner lenders based on their own criteria.

2. Absence of Guarantee

2.1 No Guarantee of Approval

IMPORTANT: Focus Cash does NOT guarantee in ANY way that your loan application will be approved, that you will receive a loan, or that you will receive specific terms and conditions.

2.2 Approximate Information

All information presented on the Site regarding rates, amounts, timelines, terms, and criteria is:

• Approximate and provided for informational purposes only
• Not guaranteed for accuracy, completeness, or timeliness
• Subject to change without notice
• Variable depending on the partner lender and your personal circumstances

2.3 Exclusion of Warranties

The Site and its content are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Site will be available uninterrupted or error-free
• The information on the Site is accurate, complete, or up-to-date
• The results obtained from the use of the Site will meet your expectations
• Any defects in the Site will be corrected

3. Limitation of Liability

3.1 Exclusion of Liability

To the maximum extent permitted by applicable law, Focus Cash, its officers, directors, employees, agents, and affiliates will not be liable under any circumstances for any damages whatsoever arising from or related to your use of the Site or the services of the partner lenders.

3.2 Types of Excluded Damages

This exclusion applies to all types of damages, including, but not limited to:

• Direct damages
• Indirect damages
• Incidental damages
• Consequential damages
• Punitive or exemplary damages
• Loss of profits, revenue, or anticipated savings
• Loss of data or information
• Loss of business opportunities
• Moral damage or damage to reputation

3.3 Situations Covered by the Exclusion

This limitation of liability applies to, but is not limited to, the following situations:

• Rejection of your loan application by a partner lender
• Loan terms different from those indicated on the Website
• Processing times longer than those suggested on the Website
• Approved amount lower than the amount requested or indicated on the Website
• Interest rates or fees different from those mentioned on the Website
• Any act, omission, or practice of a partner lender
• Inaccuracy, incompleteness, or outdated information on the Website
• Temporary or permanent unavailability of the Website
• Viruses or other harmful elements transmitted through the Website
• Unauthorized access to your data or communications

3.4 Limitation of Liability

If, notwithstanding the foregoing, Focus Cash is held liable for any reason whatsoever, our total and cumulative liability to you will in no event exceed one hundred Canadian dollars (CAD $100).

3.5 Basis of the Agreement

You acknowledge and agree that the limitations of liability set forth in these Terms are essential elements of the agreement between you and Focus Cash, and that FocusCash would not offer the Site without these limitations.

4. Third-Party Lending Partners

4.1 Relationship with Lenders

Our lending partners are independent third-party companies. Focus Cash:

• Is not an agent, representative, or mandatary of the lending partners
• Has no control over their decisions, practices, or policies
• Does not guarantee the quality of their services
• Assumes no responsibility for their actions or omissions

4.2 Your Relationship with the Lender

Any loan agreement is exclusively between you and the partner lender. You must:

• Carefully read any loan agreement before signing it
• Ensure you understand all the terms, rates, and fees
• Ask the lender questions if anything is unclear
• Address any complaints or claims directly to the relevant lender

5. Your Obligations

5.1 Accuracy of Information

You agree to provide accurate, complete, and up-to-date information in your loan application. Providing false or misleading information may:

• Result in the rejection of your application
• Constitute fraud punishable by law
• Expose you to civil or criminal liability

5.2 Appropriate Use

You agree to:

• Use the Site only for lawful purposes
• Not use the Site in any way that could damage, disable, or overburden our systems
• Not attempt to gain unauthorized access to our systems or data
• Not transmit any viruses, malware, or other malicious code
• Not impersonate another person

5.3 Legal Capacity

By using the Site and submitting an application, you represent and warrant that:

• You are at least 18 years old
• You reside in Canada
• You have the legal capacity to enter into a contract
• You are not currently in active (undischarged) bankruptcy proceedings

6. Indemnification

You agree to indemnify, defend, and hold harmless Focus Cash, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Site
• Your breach of these Terms
• Your violation of any third-party rights
• Any inaccurate or misleading information you provided
• Your relationship with a partner lender

7. Intellectual Property

The Site and all its content, including, but not limited to, text, graphics, logos, images, audio and video clips, data compilations, and software, are the property of Prêt Instant or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Site without our prior written permission.

8. Modifications

We reserve the right to modify these Terms at any time and at our sole discretion. Modifications will be effective immediately upon posting on the Site. Your continued use of the Site after the posting of modifications constitutes your acceptance of the modified Terms.

We encourage you to review this page regularly to stay informed of any changes.

9. Termination

We may, at our sole discretion, suspend or terminate your access to the Site at any time, with or without cause and with or without notice, including if we believe you have violated these Terms.

10. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified and interpreted so as to best accomplish the objectives of that provision to the fullest extent permitted by applicable law, and the remaining provisions shall continue in full force and effect.

11. Waiver

The failure of Focus Cash to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12. Entire Agreement

These Terms, together with our Privacy Policy and Disclosure page, constitute the entire agreement between you and Focus Cash regarding the use of the Site and supersede all prior agreements.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Canada and the applicable federal laws of Canada, without regard to principles of conflicts of law.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in the judicial district of Canada, and you hereby consent to the personal jurisdiction of such courts.
